End User License Agreement for Downloadable Tools
Last updated November 3, 2023This End User License Agreement for Downloadable Tools (“EULA”) is a legal contract between you and Coppy, LLC. (“Coppy”) and authorizes your access to relevant Coppy CLI tool (the “Downloadable Tools”). You must accept the terms of this EULA before using the Downloadable Tools. If you are entering into this EULA on behalf of a company or other organization, you hereby represent and warrant that you are authorized to enter into this EULA on behalf of such company or other organization.
This EULA supplements, is a part of, and is hereby incorporated by reference into the Terms of Use. For clarity, except as otherwise set forth herein, all terms and conditions set forth in the Coppy Terms of Use and Coppy Privacy Notice regarding the Website will govern your use of the Downloadable Tools, given that they are part of the Website. Capitalized terms used but not defined in this EULA are defined in the Terms of Use.
By downloading, copying, or otherwise using the Downloadable Tools, you are indicating that you have read and understood, and that you assent to be bound by the terms of this EULA and the Terms of Use. If you do not agree to the terms of this EULA, do not access or otherwise use the Downloadable Tools.
The license grant to the Downloadable Tools is set forth in the Terms of Use. In addition to the restrictions set forth in the Terms of Use, you may not directly or indirectly in whole or in part:
- reverse engineer, decompile, disassemble, or otherwise attempt to discover the object code, source code or underlying ideas or algorithms of the Downloadable Tools;
- copy, translate, modify, create derivative works of, or otherwise use the Downloadable Tools or any part thereof;
- distribute, sell, assign, pledge, sublicense, lease, loan, use for service bureau purposes, rent, or otherwise transfer the Downloadable Tools or any part thereof in any form;
- remove from the Downloadable Tools, or alter, any of the trademarks, trade names, logos, patent or copyright notices or other proprietary notices or markings, or add any other notices or markings to the Downloadable Tools;
- use the Downloadable Tools for any purpose other than its intended purpose;
- interfere with or disrupt the integrity or performance of the Downloadable Tools;
- introduce any open source software into the Downloadable Tools;
- use the Downloadable Tools to tamper with, spoof, or attempt to obtain unauthorized access to Coppy’s servers or databases; or
- permit any other party, directly or indirectly, to do any of the foregoing.
Your use of Downloadable Tools may be subject to additional third party terms and conditions and you agree to comply with all such terms and conditions as a condition to using such Downloadable Tools. Unfortunately, if you breach any of these restrictions your license to the Downloadable Tools will terminate automatically and you must immediately destroy any downloaded or printed versions of the Downloadable Tools.
You will use the Downloadable Tools in compliance with all relevant laws. The EULA will be governed and construed in accordance with the laws governing the Terms of Use.
Coppy reserves the right to modify this EULA, and will keep the most current version of this EULA on this page.
